1. Identification and Scope of Application

These Terms and Conditions ("Terms") govern the use of the Dentistock platform ("Platform"), accessible at www.dentistock.com, operated by Dentistock SRL, a company registered in Belgium ("Dentistock", "we", "us", "our").

These Terms apply to all users of the Platform, whether professionals, organisations, or their authorised representatives. By creating an account or using the Platform, you accept these Terms in full. If you do not agree, you must not use the Platform.

Dentistock's Terms take precedence over any general or specific conditions of the user or any third party, unless expressly agreed otherwise in writing.

2. Purpose of the Platform

Dentistock is a digital intermediation platform that enables dental professionals to:

  • Discover and compare dental supply offers from multiple suppliers
  • Manage product catalogues and track pricing
  • Prepare and generate purchase orders
  • Optimise procurement through analytics and insights

Dentistock is not a vendor or supplier. We act solely as a technical intermediary facilitating the connection between dental practices and dental supply companies. The Platform's services are reserved exclusively for authorised account holders and may not be shared with or accessed by unauthorised third parties without prior written consent from Dentistock.

3. Pricing and Financial Terms

Access to product comparison, catalogue consultation, and order generation features is provided free of charge during the trial period. Dentistock offers subscription plans for continued access to the Platform. Subscription pricing, billing cycles, and included features are specified during the subscription process.

Dentistock reserves the right to introduce additional paid features (such as advanced analytics or inventory management modules) subject to separate terms. Users who do not subscribe to paid features will retain access to the features included in their current plan.

4. Order Process and Dentistock's Role

The Platform enables users to compare supplier offers and prepare purchase orders. When a purchase order is submitted through the Platform, Dentistock transmits it to the selected supplier(s).

The sale contract is formed directly between the user and the supplier. Dentistock acts as a technical intermediary only. The supplier is solely responsible for:

  • Acceptance or rejection of the order
  • Product availability and delivery
  • Product conformity and quality
  • Invoicing and payment collection
  • After-sales service and support

Requests to modify or cancel an order must be directed to the relevant supplier. Dentistock is not responsible for the execution of any contract between the user and a supplier. Some suppliers may redirect users to their own websites to complete the ordering process.

5. Information Accuracy and Product Availability

Product data, pricing, and availability information displayed on the Platform is sourced from suppliers or publicly available sources. Dentistock endeavours to update this information regularly but cannot guarantee real-time accuracy.

Price discrepancies, stock shortages, or catalogue changes may occur between the information displayed on the Platform and the actual conditions offered by the supplier. Suppliers confirm final availability, pricing, and conditions at the time of order.

Dentistock is not liable for price differences, product unavailability, catalogue modifications, or errors originating from suppliers. Users acknowledge that the Platform serves as a comparison and ordering tool, not as a guarantee of supplier terms.

6. Order Cancellation, Returns, and Claims

Cancellation requests must be directed to the relevant supplier. Dentistock cannot guarantee that an order can be modified or cancelled once it has been transmitted to a supplier.

Return, exchange, and refund procedures are determined by each supplier's own policies. Dentistock may, at its discretion, assist users in communicating with suppliers regarding such requests, but is under no obligation to do so.

Dentistock is not liable for a supplier's refusal to accept cancellations, returns, or refund requests.

7. User Account and Platform Access

Account creation is required to use the Platform. Users must provide accurate and current information during registration and maintain the accuracy of their account details at all times.

Login credentials are strictly personal and confidential. Users are responsible for all activity conducted under their account and must immediately notify Dentistock of any unauthorised access or use at support@dentistock.com.

Where the Platform requires supplier account credentials (to access pricing information and facilitate orders on the user's behalf), these credentials are encrypted using industry-standard encryption and stored securely. Dentistock uses these credentials solely for the stated purposes.

Dentistock may suspend or terminate accounts in cases of suspected fraud, abuse, security threats, or violation of these Terms. No compensation is owed for suspension or termination resulting from policy violation or misuse.

8. Limitation of Liability

The Platform and its services are provided on a "best efforts" basis. Dentistock is not liable for:

  • Temporary interruptions due to maintenance, updates, or technical incidents
  • The execution, performance, or outcome of contracts between users and suppliers
  • Indirect damages, including but not limited to: loss of profits, loss of business, loss of data, loss of opportunity, or any consequential damages

To the extent permitted by applicable law, Dentistock's total aggregate liability for any claim arising from or related to the Platform is limited to the amounts paid by the user to Dentistock during the twelve (12) months preceding the event giving rise to the claim, except in cases of gross negligence or fraud.

Users assume full responsibility for their purchasing decisions and use of the Platform.

9. Platform Availability and Maintenance

Dentistock aims to provide 24/7 access to the Platform but does not guarantee uninterrupted availability. The Platform may be temporarily suspended without prior notice for maintenance, updates, security patches, or other technical reasons.

Dentistock reserves the right to modify, add, or remove Platform features at any time. Users are responsible for maintaining their own data backups and business continuity measures.

10. User Obligations

Users agree to:

  • Use the Platform in accordance with these Terms, applicable laws, and professional standards
  • Provide accurate and truthful information
  • Use the Platform solely for legitimate professional activities
  • Not disrupt, interfere with, or attempt unauthorised access to the Platform
  • Not use the Platform for any illegal purpose or to harm third parties

Users are responsible for the accuracy of their data, the orders they place, and compliance with all applicable regulations. Users shall indemnify Dentistock against any claims, damages, or costs arising from violations of these Terms or applicable law.

11. Intellectual Property

Dentistock retains all intellectual property rights in and to the Platform, including its architecture, source code, databases, design, text, logos, graphics, and all other content created by Dentistock.

Users are granted a limited, non-exclusive, non-transferable, personal licence to use the Platform for its intended purpose. Users may not copy, reproduce, modify, extract, reverse-engineer, or create derivative works from any part of the Platform without prior written consent from Dentistock.

Product data and supplier content displayed on the Platform remain the property of the respective suppliers.

12. Confidentiality

Both parties agree to keep confidential any commercial, technical, financial, or operational information exchanged in connection with the use of the Platform.

Dentistock may disclose user information only when strictly necessary for the provision of the service, when required by law, or when authorised by the user. Users must not disclose details about the Platform's operation or any non-public conditions.

Exceptions apply to information that is publicly available, legitimately obtained from third parties, or required to be disclosed by law. This confidentiality obligation survives for five (5) years after the end of the business relationship.

13. Personal Data

Dentistock processes personal data in accordance with applicable data protection regulations, including the General Data Protection Regulation (GDPR). For full details on how we collect, use, and protect your data, please refer to our Privacy Policy.

Users who register on behalf of an organisation must inform their collaborators and authorised users about the data processing performed by the Platform. Users must not upload unnecessary personal data or violate applicable privacy laws when using the Platform.

14. Suspension and Termination

Dentistock may suspend or terminate access to the Platform in cases of Terms violations, abuse, fraud, or security requirements, without prior notice if circumstances warrant immediate action.

Users may terminate their account and request deletion at any time, subject to completion of any pending orders. To request account deletion, contact support@dentistock.com.

No compensation is owed for suspension or termination. Clauses relating to intellectual property, confidentiality, limitation of liability, and applicable law survive termination.

15. Modifications to These Terms

Dentistock may modify these Terms at any time. The current version is always available on the Platform. Substantial changes will be communicated to users via email or through the Platform.

Continued use of the Platform after modifications constitutes acceptance of the updated Terms. If you disagree with the modified Terms, you must stop using the Platform and close your account.

16. Applicable Law and Dispute Resolution

These Terms are governed by and construed in accordance with Belgian law.

In the event of a dispute, the parties shall first attempt to reach an amicable resolution. If no resolution is reached, the courts of Brussels, Belgium shall have exclusive jurisdiction.

17. General Provisions

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Dentistock's failure to enforce any provision shall not constitute a waiver of that provision or of the right to enforce it in the future.
  • Users may not assign or transfer their rights or obligations under these Terms without Dentistock's prior written consent. Dentistock may assign its rights and obligations in connection with a restructuring, merger, or acquisition.
  • Dentistock is not liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, network failures, utility outages, government actions, or other force majeure events.
  • These Terms constitute the entire agreement between the user and Dentistock regarding the use of the Platform.
